We serve as outside lender's counsel to regional and community banks, handling commercial loan transactions from term sheet through closing. Our attorneys have documented and closed more than $3 billion in commercial loan transactions secured by real estate, business assets, deposit accounts, marketable securities, and accounts receivable.
Our lending practice encompasses commercial real estate acquisition and refinance loans, land acquisition and development loans, residential and commercial construction loans, C&I and working capital facilities, asset-based lending, SBA loans, loan participations, and letter of credit facilities.
We bring depth in areas that are critical to protecting our clients' collateral positions, including title insurance and survey review, UCC perfection and priority analysis, intercreditor and subordination agreements, and entity authority and organizational due diligence. Our experience extends to multi-state transactions involving complex collateral structures across multiple jurisdictions.
We have developed particular experience representing lenders in cannabis industry financing, an area that requires careful navigation of state regulatory frameworks — including licensing authority approval requirements and transfer restrictions — against the backdrop of evolving federal law. Our work in this sector includes structuring loan documentation to address regulatory cooperation covenants, compliance reporting obligations, and the unique collateral and perfection issues that arise when lending to licensed cannabis operators across multiple jurisdictions.
